General Terms and Conditions of Sale

1 – Preamble
These general terms and conditions of sale are intended to govern the contractual relationship between M&L COMPANY SARL, with a share capital of €7,500, whose registered office is located at 2bis rue Dupont de l’Eure, 75020 Paris, Manager Mr. TUBIANA, Tel.: 01 84 80 76 46 (SIRET 53178892500026 RCS PARIS, contact email: contact@viiiiite.com), and the Client, hereinafter defined as the user of the website https://www.socialtouch.io and accepting these general terms and conditions of sale. Any other terms shall only be binding on SARL M&L COMPANY after written confirmation from its part. The information on this website is provided for informational purposes only and may be modified by SARL M&L COMPANY without prior notice. The mere act of placing an order on the socialtouch.io website implies unreserved acceptance of these general terms and conditions of sale.

2 – Products
The characteristics of the products offered for sale are presented on the website under the “Categories” section. The photographs are contractually binding. SARL M&L COMPANY’s liability may be incurred if errors have been introduced therein.

3 – Validity Period of Sales Offers
Products are offered for sale while stocks last. For products not in stock in our warehouses, our offers are valid subject to availability from our suppliers. In the event of an order for an unavailable product, the client will be informed via their client account available on the website and/or by email as soon as possible.

4 – Product Prices
Prices displayed on the socialtouch.io website are expressed in Euros and include all taxes, excluding shipping costs. As our prices are constantly updated, price offers are valid for 1 hour. To this price, transport costs calculated according to the type of products ordered and the carrier selected by the client must be added. Shipping costs are specified on screen at the end of the client’s selection of different products, and are recalled in the order summary preceding validation. The price is payable in full on the day of the order. The prices applied are those in effect at the time of the order, within the limits of available stock and subject to obvious typographical error or changes in the French VAT rate. Any change in this rate would then be immediately reflected in the sales prices.

5 – Delivery Method
Delivery is made to the address specified by the client when placing their order. It will be carried out by TNT. It can only take place once the order has been validated by the client and payment has been made in full. Any relevant bank payment centers must therefore have given their payment approval beforehand. In case of refusal by the said centers, the order will be automatically cancelled. Furthermore, SARL M&L COMPANY reserves the right to refuse any order from a client with whom an ongoing dispute exists.

6 – Delivery Times
If the ordered product is in stock, it will be shipped the same day if the order is placed before 2 PM. If placed later, it will be shipped within 24 hours.
Delivery times will only commence from the order payment date. In case of force majeure or exceptional events (natural disaster, epidemic, strikes, lock-outs, etc.) delaying or preventing the delivery of goods, SARL M&L COMPANY shall be released from all liability. In all cases, timely delivery can only occur if the client is up to date with their obligations towards SARL M&L COMPANY. In case of delivery anomaly or missing product, the consumer shall specify their reservations on the delivery note and confirm them, as soon as possible, by registered mail with acknowledgment of receipt addressed to M&L COMPANY or hello@socialtouch.fr.

7 – Claims
By signing the delivery note, the client accepts the products delivered as is, and therefore no claim relating to damages incurred during transport will be accepted. It is the client’s responsibility to carry out all checks and make all reservations upon arrival of the equipment and, if necessary, to exercise all recourse against the carrier. Upon receipt of the goods, the client must immediately check their condition and conformity with the contract. This verification must also be carried out, if applicable, on the internal condition. All claims relating to a defect in the delivered goods, an inaccuracy in quantities, or an erroneous reference compared to the order confirmed by SARL M&L COMPANY, must be made in writing as soon as possible upon receipt of the goods, failing which the right to claim will cease to be acquired. For any return of goods, we advise you to notify us beforehand.

8 – Invoicing
A detailed invoice will be sent to the client in their package. The indication of the VAT amount allows public bodies, companies, and liberal professions to recover it.

9 – Payment Method
By bank card: (Carte Bleue, Visa, Eurocard, Mastercard accepted in France). Validation of the order by bank card constitutes a mandate to pay the total price including all taxes for the order. The client must transmit the card number, validity date, and cardholder’s name: Online Thanks to the SSL protocol, the client can securely transmit the card type (Carte Bleue, Visa, Eurocard, Mastercard), the bank card number, the validity date, and the cardholder’s name (name appearing exactly as on the bank card).

10 – Warranty and After-Sales Service
All products sold on socialtouch.io are guaranteed against manufacturing defects and material flaws. Depending on the products and purchase date, repair will be handled by SARL M&L COMPANY. In case of return of equipment found not to be defective, transport and handling fees may be charged to the client. This warranty does not cover damages resulting from accidents, misuse, or negligence. Any return of goods requires the prior agreement of SARL M&L COMPANY and the obtaining of a return number issued by it to the client, which must be very legibly inscribed on any returned package. The return of goods is at the client’s expense, risk, and peril. Products returned by carrier without physical protection or poorly protected will not be eligible for warranty; it is therefore the client’s responsibility to ensure the protection and insurance of the returned product(s) during their transport. It is the client’s responsibility to keep the packaging, accessories supplied with the product, as well as any labels affixed to the product or its packaging, which are necessary to benefit from the offered warranty. SARL M&L COMPANY is not the producer of the products presented, within the meaning of Law No. 98-389 of May 19, 1998, relating to liability for defective products. Consequently, in the event of damage caused to a person or property by a product defect, only the liability of the producer thereof may be sought by the client. SARL M&L COMPANY will ensure that the warranty is applied to any returned product as soon as possible. However, when repair requires the product to be sent back to the producer, it cannot be held responsible for any delays caused by the producer. Furthermore, SARL M&L COMPANY’s after-sales service will choose the carrier responsible for delivering the goods to the client.

11 – Right of Withdrawal
From the date of receipt of your order, if you are a private individual, you have a period of 15 days to exercise your right of withdrawal and be fully reimbursed – with the return shipping costs remaining at your expense. However, incomplete, used, damaged, or soiled products will not be accepted for return. As with any other return of goods, it is advisable to obtain a return number from SARL M&L COMPANY by requesting it via email at the following address: hello@socialtouch.fr.

12 – Retention of Title and Liability
SARL M&L COMPANY retains ownership of the goods until full payment by the client. The transfer of ownership of the products to the client occurs upon full payment of the price. However, during the period from delivery to transfer of ownership, the risks of loss, theft, or destruction are borne by the client. The client’s failure to fulfill their payment obligations, for whatever reason, grants SARL M&L COMPANY the right to demand the immediate return of the delivered goods at the client’s expense, risk, and peril. In the event of insolvency proceedings affecting their Company, the client undertakes to actively participate in establishing an inventory of goods in their stock for which SARL M&L COMPANY claims ownership. Failing this, SARL M&L COMPANY has the right to have the inventory recorded by a bailiff at the client’s expense. The client is prohibited from reselling, transforming, or incorporating the delivered goods from the date of the judgment declaring the judicial reorganization or liquidation of their Company’s assets. SARL M&L COMPANY may prohibit the client from reselling, transforming, or incorporating the goods in case of payment delay.

13 – Data Confidentiality
Personal data provided by the client is not disseminated to third parties. In accordance with Law 78-17 of January 6, 1978, the client has the right to access and rectify their data at any time. To exercise this right, simply contact SARL M&L COMPANY.

14 – Jurisdiction
Contractual information is presented in French, and the products offered for sale comply with French regulations. If applicable, it is up to the foreign client to check with local authorities the possibilities of using the product they intend to order. SARL M&L COMPANY cannot be held liable in case of non-compliance with the regulations of a foreign country. All disputes relating to the formation, execution, and termination of contractual obligations between the parties (for professionals) that cannot be settled amicably shall be submitted to the jurisdiction of the Commercial Court of PARIS, France, within whose jurisdiction SARL M&L COMPANY’s registered office is located.

15 – For the Order Analysis System (Fraud Detection)
The occurrence of an unpaid amount due to fraudulent use of a bank card will result in the registration of contact details related to your order associated with this unpaid amount in a payment incident file implemented by Caisse Epargne. An irregular declaration or an anomaly may also be subject to specific processing.

16 – Delivery Error (Non-conformity)In the event of a delivery error for one or more products, SARL M&L COMPANY undertakes to reimburse the return shipping costs for the equipment and to send a new product at our expense. Return costs incurred by the client due to the use of a carrier other than the postal service can only be reimbursed based on a FedEx tariff. Shipping costs will also be borne by SARL M&L COMPANY.
